Terms of Service

These Terms of Service ("Terms") govern your use of aiwithnico.com (the "Site"), operated by AI With Nico ("we," "us," "our"). By using the Site, you agree to these Terms.

1. Our Services

AI With Nico provides AI solutions and consulting services, including white-label AI builds, integrations, and advisory engagements for agencies, plus free resources and tools, including free self-paced learning material, an interactive AI "concierge" chat assistant, a discovery flow, and an ROI assessment tool. Paid engagements are described on the Work With Me page and, when purchased through a linked checkout, are delivered as live sessions with Nico. Any engagement-specific details, including scheduling, scope, cancellation, and refund terms, are presented before payment or agreed in writing.

2. The Concierge Chat Is an AI System

The concierge chat feature is powered by AI systems from our provider, OpenAI, and is not a human representative of AI With Nico. AI-generated responses may be incomplete, inaccurate, or mistaken. Nothing provided through the concierge chat, the discovery flow, or the assessment tool constitutes professional, legal, financial, tax, or other licensed advice, and you should not rely on it as such. You are responsible for independently verifying anything material to a decision you make.

3. Acceptable Use

When using the concierge chat, discovery flow, or any other interactive feature, you agree not to:

  • Submit illegal, harmful, hateful, harassing, or sexually explicit content;
  • Attempt to use the assistant to generate malware, weapons instructions, or content intended to harm others;
  • Attempt to extract, reverse-engineer, or misuse the underlying AI system, its prompts, or its infrastructure;
  • Submit another person's personal or confidential information without their consent;
  • Use the Site or its tools for any unlawful purpose.

We may suspend or terminate access for any user who violates this section.

4. Intellectual Property

All training materials, working documents, written content, branding, and other materials made available through the Site (collectively, "Content") are owned by AI With Nico or its licensors and are protected by copyright and other intellectual property laws. You may not copy, reproduce, distribute, or create derivative works from the Content without our prior written permission, except for your own personal, non-commercial use as expressly permitted by us. Working plans generated for you by the concierge chat are provided for your personal reference and do not transfer any ownership rights in our underlying Content or methodology.

5. No Warranties; Disclaimer

THE SITE, ALL CONTENT, AND ALL FEATURES (INCLUDING THE CONCIERGE CHAT, DISCOVERY FLOW, AND ASSESSMENT TOOL) ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. AS AN EARLY-STAGE BUSINESS, WE MAKE NO GUARANTEE OF SPECIFIC OUTCOMES, RESULTS, OR ROI FROM USE OF OUR TRAINING CONTENT, ASSESSMENT TOOL, OR AI FEATURES.

6. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AI WITH NICO AND ITS FOUNDER SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SITE OR ITS FEATURES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM YOUR USE OF THE SITE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE PRIOR 12 MONTHS, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

7. Third-Party Services

Our Site's features rely on third-party providers, including OpenAI, our only AI model provider (concierge chat responses, background analysis of concierge conversations, assessment input classification, consent-gated engagement classification for concierge estimate follow-ups, and the opt-in Key Person Log handoff draft action), Anysite.io (company enrichment, opt-in only), Resend (email delivery), Vercel (hosting), and Supabase (data storage). We are not responsible for outages, errors, or issues originating from these third-party providers.

8. Changes to the Site or These Terms

We may modify, suspend, or discontinue any part of the Site at any time. We may update these Terms from time to time; continued use of the Site after an update constitutes acceptance of the revised Terms.

9. Governing Law

These Terms are governed by the laws of the state of the founder's residence and principal place of business in the United States, without regard to conflict-of-law principles.
